Job Description:

 

This position will provide paralegal support to in-house counsel during all phases of corporate transactional processes and litigation matters.  Legal Assistant/Paralegal will take part in preparation of client contracts, corporate documents and correspondence, contract management, corporate governance and other legal matters. Legal Assistant/Paralegal may assist in such tasks as: filing, gathering and indexing, analyzing and synthesizing documents as well as logistical coordination efforts related to the various transactions.

 

Duties & Responsibilities:

 

  • Assist in the preparation of client and vendor contracts, amendments, change orders, letters of intent.

  • Help prepare plans for case specific support such as document productions and trials.

  • Proofreading and preparation of contract execution copies.

  • Establish and maintain integrity of electronic and paper contract files ensuring executed documents are filed correctly and organized logically.

  • Updating and maintaining template contract.

  • Perform research using the Internet and other sources and create verbal/written reports.

  • Update and maintain corporate minute books, draft corporate board minutes and intercompany agreements, handle other corporate governance matters.

  • Digest and summarize legal and business documents.

  • Maintain confidentiality of client information.

  • Other duties as assigned.

 

Qualifications &Skills:

 

  • Bachelor’s Degree required.

  • Minimum 3 years of transactional and/or litigation support experience required (Paralegal certification from the state of California strongly preferred).

  • Thorough understanding of the litigation life cycle, legal documents and procedural requirements.

  • Knowledge of state and federal court rules.

  • Strong writing and editing skills.

  • Comfortable conducting Internet-based research.

  • Excellent attention to detail and strong organizational and communication skills.

  • Ability to work efficiently in a fast-paced environment with or without direct supervision.

  • Ability to coordinate multiple projects at one time.

  • Microsoft Office Suite (Word, PowerPoint, Excel) are essential.

  • Industry knowledge in logistics and supply chains is a plus.

·         The position requires the ability to talk and hear while performing the duties of this job.

·         The position requires the ability to stand, walk, use hands to handle or feel, and reach with hands and arms. 

·         The position requires dexterity to write and use computer keyboard and mouse.

·         The position requires multitasking and solving complex issues, occasionally in a fast-paced environment.

 

·         This position requires the ability to occasionally lift office products, materials and supplies, up to 20 pounds.
